This is an agreement between you and Get Seen Get Seafood and signifies your acceptance of these Terms and Conditions as well as your consent and release for the use of your Photo in advertising, marketing and other uses as described in this agreement.


1) SWEEPSTAKES PERIOD: The Get Seen Get Seafood photo contest starts September 12, 2009 with the first home LSU football/Saints regular season game and lasts through the end of the football season.  Winners will be selected each week from among all eligible entries received.

2) ELIGIBILITY: TO BE ELIGIBLE TO WIN, THE PERSON SUBMITTING THE PHOTO MUST BE AT LEAST 21 YEARS OF AGE OR OLDER ON DATE OF ENTRY, A LEGAL RESIDENT OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA. PERSONS PICTURED IN THE PHOTO MUST BE OVER 18, LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRIC OF COLUMBIA. Officers, directors and employees of Louisiana Seafood Promotion and Marketing Board, subsidiaries and affiliated companies, advertising, promotional and judging agencies, persons engaged in the development, production or distribution of materials for this Promotion (collectively, the “Promotion Parties”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate. This Contest is void in Puerto Rico, all US territories and possessions and where prohibited by law.

3) HOW TO ENTER: No Purchase Necessary, and no entry fee, payment or proof-of-purchase necessary to participate in the Sweepstakes.  Enter online at the GetSeenGetSeafood.com website. To enter at GetSeenGetSeafood.com: Each week, go to http://getseengetseafood.com and follow the link to upload your photos.  The link will take you to a registration page before being able to upload photos.  You must complete and submit the entry form as instructed. As part of the Contest entry process, entrants will be required to indicate that they have read, accept, and agree to be bound by these Official Rules. The name of the person submitting the Contest entry must be the authorized account holder of such email address and must be authorized to use the photo, otherwise, entry may be deemed void. In the event of a dispute over the identity of a potential winner, the entry will be declared made by the authorized holder of the email address submitted at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her e-mail or postal address during the Contest Period.

4) PRIZES: One (1) Grand Prize and WEEKLY CONTEST PRIZES: Each week, starting on September 12, 2009, a winner will be chosen based on exposure and creativity from among all eligible entries received that week during the Contest Period. Odds of winning a prize depend on the number of eligible entries received. Limit one (1) Prize per person.

5) WINNER NOTIFICATION AND PRIZE FULFILLMENT: Potential winners will be notified by email at the email address provided the following Thursday. Any winner notification returned as undeliverable will result in prize forfeiture and an alternate winner may be selected at Sponsor’s discretion. Potential winners may be required to sign and return to Sponsor an Affidavit of Eligibility/Liability Release with (where lawful) a publicity release for receipt by Sponsor by the due date indicated in the notification letter. If any required documents are not returned within the required number of days, or if any notification is returned as undeliverable or email is not responded to within 48 hours, then prize may be forfeited and an alternate winner may be selected at Sponsor’s discretion. If a potential Contest prize winner is over 18 and under 21 an eligible minor in their state of residence, the applicable Contest prize may be awarded to his or her parent or legal guardian, who will be required to sign and return all Contest prize acceptance documents and assume all responsibilities of the Contest prize winner.

6) CONDUCT: By entering this Contest, entrants agree to be bound by these Official Rules and the decisions of the judges that shall be final and binding in all respects. These Official Rules are accessible from http://www.getseengetseafood.com throughout the Contest Period. Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Contest; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

LINKED SITES & THIRD PARTIES
Linking directly to images on Get Seen Get Seafood servers from external sites is expressly prohibited. This Site contains links to other Web Sites operated by third parties (“Linked Sites”). You acknowledge that Get Seen Get Seafood is not responsible for any content that appears on the Linked Sites. You also acknowledge that the respective owners of the Linked Sites do not, by virtue of the linking, necessarily endorse Get Seen Get Seafood, nor are they necessarily affiliated with Get Seen Get Seafood. You acknowledge that Get Seen Get Seafood is not liable for the defamatory, offensive or illegal conduct of other users or third-parties, and that the risk of injury from the foregoing rests entirely with you.

MODIFICATIONS
Get Seen Get Seafood shall have the right at any time to (a) change the terms of this Agreement, (b) change the Site, including eliminating or discontinuing any content or feature of the Site, restricting the hours of availability, or limiting the amount of use permitted, or (c) change any fees or charges for use of the Site, including instituting new or increased fees or charges for the use of the Site or any other Site-related services or any feature thereof. Such changes, modifications, additions, or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on the Site, or by electronic mail, or by conventional mail. Your use of the Site after such notice shall be deemed to constitute your acceptance of such changes, modifications, additions, or deletions. You are expected to review this Agreement periodically to ensure familiarity with the most current version.

PHOTO SUBMISSION DISCLAIMER
Individuals may register (create an “Account”) in the Program from the Get Seen Get Seafood website. There is no charge or fee to enroll. Participation instructions are clearly stated on the Website. Please be sure that your Photo does not contain any visible logos, drawings, cartoons, photographs, pictures, phrases or trademarks (other than those of Get Seen Get Seafood) or other third party materials. Please do not submit any photo unless you have shot it yourself or have obtained all necessary rights from the person who shot it. Photos must comply with the terms of this agreement and the Code of Conduct identified below.

By uploading photos to the website, the user grants Get Seen Get Seafood the right, for the duration of this agreement and free of charge, to save the photos, in their entirety or in part, convert the photos to alternative file formats and to display them publicly on the aforementioned website.

1.1. USE OF MY PHOTO. By uploading my pictures or photo (collectively “Photo”), I hereby grant to Get Seen Get Seafood, its subsidiaries, successors, licensees, agents (including, without limitation, Innovative Advertising, LLC) and assigns, and others working for or on behalf of any of them (collectively, the “Permitted Parties”) the unlimited right and permission to use the Photo, which Get Seen Get Seafood may edit or alter as it sees fit, and my image, picture, likeness, statements, name, and/or biographical information as well as any other information I provide to Get Seen Get Seafood, and any material based thereon or derived there from, edited or altered as Get Seen Get Seafood in its sole discretion so chooses, to create and produce unlimited advertising, marketing and promotional materials (collectively, the “Materials”) and to distribute, publish, exhibit, digitize, broadcast, display, reproduce and otherwise use the Photo and the Materials in any manner, venue or media (whether now known or hereafter devised), anywhere in the world, at any time, for any lawful purpose, including, without limitation, for the purposes of advertising, trade and merchandising in connection with Get Seen Get Seafood and its products and services.

4.4. I understand that nothing contained herein shall obligate the Permitted Parties to make any use of the Photo or Materials or the rights granted herein. I shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, distortion, illusionary effect, faulty reproduction, fictionalization, or use in any composite form of my name, picture, likeness, and/or biographical information.

5.5. I represent and warrant that: (a) I am 21 years old or older on the date I submit the Photo ; (b) Persons pictured in the photo are 18 or older; (c) I am voluntarily submitting the Photo; (d) I confirm that I am the only person who appears in the Photo (or if I am not the only person who appears in the Photo, I have secured all rights from any other person necessary to allow me to grant to Get Seen Get Seafood all of the rights in the Photo granted herein); (e) the Photo is a previously unpublished and previously unproduced work and I shot the photo (or, if I am not the person who shot the Photo, the person who shot the Photo has granted to me all rights necessary to allow me to grant to Get Seen Get Seafood all of the rights in the Photo granted herein); (f) the contents of the Photo is wholly original and created by me (or, if I have included any content not created by me in my Photo, I have secured all rights in the third party content necessary to allow me to grant to Get Seen Get Seafood the rights in the Photo granted herein; (g) neither the Photo, nor the use of the Photo by Get Seen Get Seafood will infringe upon or violate the intellectual property rights or other rights of any other person or entity or any applicable laws. I hereby agree to indemnify and hold the Permitted Parties harmless from and against any and all claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of my warranties, representations or agreements hereunder.

6.6. The Permitted Parties shall have no obligation (express or implied) to post or otherwise use the Photo (or my name, user i.d., picture, likeness, or biographical information), and Get Seen Get Seafood may at any time abandon the posting or other use of the Photo (or of my name, user i.d., picture, likeness, or biographical information) for any reason, with or without legal justification or excuse, and I shall not be entitled to any damages or other relief by reason thereof.

7.7. IMPORTANT. PLEASE READ - GENERAL RELEASE AND LIMITATIONS ON LIABILITY. I agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Photo shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with submitting the Photo, but in no event will attorneys’ fees be awarded or recoverable; and (3) under no circumstances will I be permitted to obtain any award for, and I hereby knowingly and expressly waive all rights to seek, punitive, incidental or consequential damages and/or any other damages, other than actual out of pocket expenses, and/or any and all rights to have damages multiplied or otherwise increased. I acknowledge and agree that Get Seen Get Seafood is not responsible for any costs, injuries, losses, or damages of any kind arising from or in connection with the Photo, including, without limitation, the making, downloading, posting or use of the Photo. I shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, distortion, illusionary effect, faulty reproduction, fictionalization, or use in any composite form of my name, user i.d., picture, likeness, and/or biographical information. This Sweepstakes is subject to the laws of the United States only. Except as determined by Sponsor in its sole discretion, no substitution of prize is offered, no transfer of prize to a third party is permitted. All federal, state, or other tax liabilities arising from this Sweepstakes are the sole responsibility of each respective prize winner. Prizes are not redeemable for cash. No more than the listed number of prizes will be awarded. Any and all guarantees and warranties are subject to the manufacturer’s terms and conditions, and winners agree to look solely to such manufacturers for any such warranty or guarantee claim.

8.8. Privacy. In order to operate this site we collect certain personally identifiable information from you such as your name, email address, contact information and any personal information you provide us within your Photo. We will use this information to contact you about the service and the posting of your Photo. In addition, pursuant to the terms of this agreement, we may use your Photo in various forms of advertising as well as identify you by name.

9.9. Code of Conduct- You will not upload, post, transmit, transfer, distribute or facilitate distribution of any content or otherwise use the service in a way that:
- disparages Get Seen Get Seafood or its competitors or Innovative Advertising, LLC.
- depicts nudity of any sort including full or partial human nudity or nudity in non-human forms such as cartoons, fantasy art or manga.
- incites, advocates, or expresses pornography, obscenity, vulgarity, profanity, hatred, bigotry, racism, or gratuitous violence.
- misrepresents the source of anything you post or upload, including impersonation of another individual or entity.
- provides or creates links to external sites that violate this Code of Conduct.
- includes content that is protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless you own or control the rights thereto or have received all necessary consents.
- is intended to harm or exploit minors in any way.
- is designed to solicit, or collect personally identifiable information of any minor (anyone under 21 years old), including, but not limited to: name, email address, home address, phone number, or the name of their school.
- invades anyone’s privacy by attempting to harvest, collect, store, or publish private or personally identifiable information, such as passwords, account information, credit card numbers, addresses, or other contact information without their knowledge and willing consent.
- is illegal or violates any applicable local and national laws; including but not limited to child pornography, bestiality, incest, illegal drugs, software piracy, and harassment.
- threatens, stalks, defames, defrauds, degrades, victimizes or intimidates an individual or group of individuals for any reason; including on the basis of age, gender, disability, ethnicity, sexual orientation, race or religion; or incites or encourages anyone else to do so.
- harms or disrupts, or intends to harm or disrupt, another user’s computer or would allow you or others to illegally access software or bypass security on Web sites, or servers, including but not limited to spamming.
- attempts to impersonate a Get Seen Get Seafood employee, agent, manager, host, administrator, moderator, another user or any other person through any means.
- promotes or otherwise facilitates the purchase and sale of ammunition or firearms.
- contains or could be considered ‘junk mail’, ‘spam’, ‘chain letters’, ‘pyramid schemes’, ‘affiliate marketing’ or unsolicited commercial advertisement.
- mischaracterizes content you post or upload or contains the same or similar content to other content you have already posted.
- attempts to manipulate the services, including ranking and reputation systems in the services, by violating any of the provisions of this Code of Conduct, colluding with others on voting or using multiple profiles.
- offers to make international money transfers for amounts exceeding the asking price of an item, with intent to request a refund of any portion of the payment.
- contains advertising for money making schemes, discount cards, credit counseling, online surveys or online contests. You will not use any form of automated device or computer program that enables the submission of postings without the express written consent of Get Seen Get Seafood.

10.10. Termination and Cancellation. Get Seen Get Seafood reserves the right, at its sole discretion, and without any obligation to do so, to review and remove user-created services and content at will and without notice, and delete content and accounts. Get Seen Get Seafood reserves the right, at its sole discretion, to ban participants or terminate access to services. If you violate any of these Terms, your permission to use the Service will terminate automatically. Get Seen Get Seafood reserves the right to cancel the Service or to discontinue accounts that have been inactive. We may do so at our discretion after sending an email warning to the address you used when you set up your account and waiting for a reasonable period for your response.
11.11. This agreement contains the entire understanding between Get Seen Get Seafood and you with respect to the subject matter hereof, may not be altered or waived except by a writing signed by both parties, and shall be governed by the laws of the State of Louisiana applicable to contracts executed and performed entirely therein.
